Merchant Agreement

This Merchant Agreement (“Agreement”) is entered into between you (“Merchant”, “you”, or “your”) and EcomPayouts (“we”, “us”, “our”), a white-label payment processing platform. This Agreement governs your access to and use of our services (“Services”) to accept card payments from your customers online.

By onboarding with EcomPayouts, you agree to the terms of this Agreement.

1. Our role

EcomPayouts operates as a registered agent of a licensed Payment Facilitator and works with acquiring banks and processors to enable card acceptance for e-commerce businesses. We manage your onboarding, support, and frontend experience. The actual transaction processing is handled by our backend partner(s).

2. Merchant obligations

As a Merchant, you agree to:

Provide complete and accurate business and personal information during onboarding.
Comply with all applicable laws, card network rules (Visa, Mastercard, etc.), and our Acceptable Use Policy.
Maintain a secure website and checkout experience.
Handle customer service, refunds, and order fulfillment professionally and in a timely manner.

We reserve the right to suspend or terminate your access if you violate these obligations.

3. Fees

Transaction fee: 2.9% + $0.30 per successful transaction.
Add-ons (optional)
Premium Checkout: $299/month
AI Chargeback Responses: $50/month
Chargeback Alerts: $10/alert

All fees are deducted from your settlements unless otherwise agreed. We may revise our fees with 30 days’ notice.

4. Payouts

Payouts are issued based on your risk profile, volume, and payment history. Typical payout schedules are 1–3 business days, but may be adjusted at our backend partner’s discretion. You are responsible for providing accurate banking details.

5. Account Reserves & Holds

To protect against risk, we (or our backend partner) may:

Withhold a payout
Establish a rolling reserve
Delay settlement
Terminate or suspend your account

This may happen in cases such as:

High chargeback ratios
Suspicious or fraudulent activity
Sudden spikes in volume

We’ll make best efforts to explain any such action and work with you toward resolution.

6. Chargebacks & Fraud

You are responsible for any chargebacks, disputes, or fraud on your account. We offer optional tools to help mitigate this risk, but liability ultimately rests with you.

Chargeback and dispute fees may be passed through at cost, based on our policy.

7. Data security

You must follow industry best practices to secure customer data (including PCI compliance, if applicable). We handle card data tokenization and processing through our partners in a secure and compliant manner.

8. Termination

You may cancel your account at any time by contacting support. We reserve the right to suspend or terminate your account if you violate these Terms, applicable laws, or if your activity poses a security, legal, or reputational risk.

9. Limitation of Liability

EcomPayouts is not liable for:

Indirect or consequential damages.
Losses due to third-party services (banks, card networks, carriers)
Account closures or holds initiated by our backend provider

Total liability for any claim is limited to the amount of fees paid to us in the past 30 days.

10. Changes in These Terms

We'll notify you of significant changes via email or dashboard notification. Continued use of the Services after changes means you accept the new Terms.

11. Governing Law

These Terms are governed by the laws of Wyoming, without regard to conflict of law principles.
